Terms of Use
1. Acceptance of Terms
Welcome to meandr.com or “Meandr” (the “Site”). Meandr provides its Site and services (collectively, the “Services”) to its customers and visitors of this Site (“You,” “Your”) under the following terms and its privacy policy. By accessing the Site or using the Services, You agree to and are bound by these terms of use and the associated privacy policy (collectively, the “Terms”). The Terms govern Your access to and use of Meandr Services, including the Site, and any information, text, or materials uploaded, downloaded or appearing on the Services (the “Content”). If You are a Meandr customer, the Terms supplement Your current subscription agreement to the extent not inconsistent with such subscription agreement. If You do not agree to the Terms, You must not access or use the Site. You may end Your agreement with Meandr by deactivating Your account and discontinuing Your use of the Services.
Meandr reserves the right to update or revise the Terms at any time. These changes will not be retroactive. If we make any changes to the Terms, new terms will be posted on the Site with an updated “last revised” date set forth below. The updated terms of use will govern each use of the Site from the date of update forward. Therefore, we encourage You to check the applicable Terms whenever You use the Site.
2. Access and Use of Site
Meandr customers are granted access to the Site pursuant to the Terms and the current subscription agreement in effect. All other users are permitted access to this Site pursuant to the Terms and solely for the purpose of evaluating the desirability of becoming a Meandr customer. Without limiting the foregoing restriction, access to the Site is not authorized or permitted by actual or prospective competitors of Meandr. You may not use the Site for any illegal or unauthorized purpose and You shall not, in using the Site, violate any laws including but not limited to intellectual property, tort, defamation, or other applicable laws.
Your use of the Site and Services is also governed by Meandr’s Acceptable Use Policy, available at meandr.com/acceptable-use, which is incorporated into these Terms by reference.
3. The Service
Meandr is infrastructure software that enables organizations to securely manage interactions between AI agents and software tools, including external services and internal systems. The Service performs authentication, authorization, rate limiting, policy enforcement, audit logging, and credential management for those interactions. You are solely responsible for: (a) the configuration of Your projects, servers, tools, policies, and agents; (b) the conduct of any agent or end user that accesses the Service through Your account; and © the upstream services, third-party APIs, and credentials You connect to the Service.
4. Customer Accessible Portions of Site
Certain portions of the Site are accessible only via password to existing Meandr customers. If You are not a Meandr customer You may not access or attempt to access these portions of the Site. If You open an account via an online registration process, You must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a username. You are entirely responsible for maintaining the confidentiality of Your password, account credentials, agent tokens, and bridge tokens. Furthermore, You are entirely responsible for any and all activities that occur under Your account. You agree to notify Meandr immediately of any unauthorized use of Your account or any other breach of security. Meandr will not be liable for any loss that You may incur as a result of someone else using Your password or account, either with or without Your knowledge. However, You could be held liable for losses incurred by Meandr or another party due to someone else using Your account or password.
5. Security Responsibilities
Security is a shared responsibility between Meandr and You.
Meandr is responsible for:
- Securing the Service infrastructure, including encryption at rest and in transit, access controls, and continuous monitoring;
- Authenticating requests reaching the Service;
- Producing operational metadata for activity processed through the Service;
- Maintaining the secrecy of credentials stored in Meandr’s vault on Your behalf, using industry-standard key management.
You are responsible for:
- The security of Your dashboard account, including the protection of login credentials and the enablement of multi-factor authentication where offered;
- The configuration of Your projects, servers, tools, policies, and agents, including any rate limits, approval requirements, or other policy controls You choose to enable;
- Reviewing and testing policy configurations before relying on them in production. The Service evaluates Your policies as written; Meandr does not validate the operational adequacy or business correctness of policy configurations;
- The secure handling of upstream credentials in Your environment before You submit them to the Service, and the timely rotation of those credentials as Your security practices require;
- The conduct of Your agents and end users, including any actions they take through the Service;
- Reviewing audit logs and acting on anomalies in Your traffic.
The Service is a relay between Your agents and Your upstream services; the security of the data You send through it depends on the security posture of all three parties.
6. Agent Actions
The Service is designed to execute requests initiated by AI agents and end users acting on Your behalf or on behalf of Your end users. Meandr does not independently decide which tools are invoked, what arguments are supplied, or what operations are performed by such agents. The Service relays requests in accordance with the policies and configuration You provide.
You are solely responsible for:
- The selection, configuration, and oversight of any AI agents that access the Service;
- The behavior of those agents and the consequences of their actions, including but not limited to tool invocations, data transmitted to upstream services, and any effects in upstream systems;
- Ensuring that agent behavior complies with applicable law, Your own policies, and the terms of Your upstream services.
Where Your policy configuration includes human-in-the-loop approval for specific operations, the approver is acting on Your behalf and You are responsible for the consequences of any approval decision.
7. Reservation of Rights
The Site is the intellectual property of Meandr and/or its licensors. All rights, title and interest not expressly granted with respect to the Site are reserved. All content provided through the Site is provided on an ‘As Is’ and ‘As Available’ basis.
8. Links to Third Party Sites and Upstream Services
The Site may provide links to third party web sites. Meandr is not responsible for third party content, products or services provided on or through such third party web sites and You bear all risks associated with the access and use of such web sites and third party content, products and services.
The Service is designed to act as a gateway to upstream services operated by third parties. Meandr does not control, endorse, or guarantee the availability, accuracy, legality, or security of any third-party service, API, or system You connect to the Service. You are responsible for ensuring You have all rights and credentials necessary to access such upstream services and for compliance with their terms.
9. User Provided Material
You retain Your rights to any content or material You submit, post or display on or through the Site or Services, including the configuration of Your projects, servers, tools, policies, and agents; the credentials You supply for upstream services; and the payloads of tool calls processed through the Service (collectively, “Customer Content”). By submitting or displaying such content or material through the Services, You grant Meandr and its affiliates a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, publish, transmit, display, and distribute such content or materials solely for the purpose of providing, maintaining, securing, and improving the Services during the term of the agreement and as reasonably necessary thereafter for backup, legal compliance, dispute resolution, and enforcement of these Terms.
Meandr will not use Customer Content to train machine learning or artificial intelligence models, whether ours or those of third parties, except where explicitly agreed with You.
10. Exclusions and Terminations
Meandr reserves the right to refuse You access to all or any service(s), terminate accounts or limit access to services at its sole discretion, for no or any reason, including, but not limited to, if Meandr reasonably believes: (a) You have violated any Terms; (b) You create a risk or possible legal exposure to Meandr or its affiliates; © Your account has engaged in unlawful conduct; or (d) Your account should be removed due to prolonged inactivity or provision of services to You is no longer commercially viable. Meandr will make reasonable efforts to notify You of any such exclusion or termination. In any case, upon termination, Your license to use Services shall terminate. Following termination, You will have a reasonable period (typically thirty (30) days) to export Your data through the dashboard or API before it is deleted, subject to retention requirements in our privacy policy.
11. Indemnity
You agree to indemnify and hold harmless Meandr, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys’ fees and costs, due to or arising out of: (a) any content or materials that You upload (via dashboard, agent tool call, bridge connection or otherwise); (b) Your violation of the Terms; © Your violation or infringement of any third party rights; or (d) any activity of any agent, end user, or upstream service connected to the Service through Your account.
12. Disclaimer
EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE, THE SITE, AND ALL CONTENT PROVIDED ON OR THROUGH THE SITE, ARE PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS. MEANDR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT WITH RESPECT TO THE SITE AND ALL CONTENT PROVIDED ON OR THROUGH THE SITE. MEANDR MAKES NO WARRANTY THAT: (A) THE SITE OR CONTENT WILL MEET YOUR REQUIREMENTS; (B) THE SITE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; © THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR ANY CONTENT PROVIDED ON OR THROUGH THE SITE WILL BE ACCURATE OR RELIABLE; (D) THAT THE SERVICES WILL OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, INCLUDING ANY UPSTREAM SERVICE OR THIRD-PARTY API; OR (E) THE QUALITY OF ANY CONTENT PURCHASED OR OBTAINED BY YOU ON OR THROUGH THE SITE WILL MEET YOUR EXPECTATIONS.
ANY CONTENT ACCESSED, DOWNLOADED OR OTHERWISE OBTAINED ON OR THROUGH THE USE OF THE SITE IS USED AT YOUR OWN DISCRETION AND RISK. MEANDR SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF CONTENT.
MEANDR RESERVES THE RIGHT TO MAKE CHANGES OR UPDATES TO, AND MONITOR THE USE OF, THE SITE AND CONTENT PROVIDED ON OR THROUGH THE SITE AT ANY TIME WITHOUT NOTICE.
13. Limitation of Liability
IN NO EVENT SHALL MEANDR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE SITE OR ANY CONTENT PROVIDED ON OR THROUGH THE SITE.
14. Exclusions and Limitations
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE DISCLAIMER, EXCLUSION OR LIMITATION OF CERTAIN LIABILITIES. TO THE EXTENT THAT THEY ARE HELD TO BE LEGALLY INVALID, DISCLAIMERS, EXCLUSIONS AND LIMITATIONS SET FORTH IN THESE TERMS OF USE, INCLUDING THOSE SET FORTH IN SECTIONS 12 AND 13, DO NOT APPLY AND ALL OTHER TERMS SHALL REMAIN IN FULL FORCE AND EFFECT.
15. Minors
This Site is not directed to minors, minors are not eligible to use the Site and we ask that they do not submit any information to us. For the avoidance of doubt, only adults over the age of eighteen (18) are permitted to use the Site or access the Services.
16. Copyright/Trademark
Meandr and the Meandr logo are trademarks of Meandr Inc., a Delaware corporation. Other names appearing on the Site may be trademarks of their respective owners. Accordingly, the Site, Services, and any trademarks, logos, domain names, software, distinctive brand features or proprietary rights remain the exclusive property of Meandr and/or the respective owners. Meandr gives You a personal, worldwide, royalty-free, non-assignable and nonexclusive license to use its Site and software in connection with its Services, in the manner permitted by these Terms.
Open source. Where the Service includes or distributes open source components, those components remain governed by their respective licenses, which prevail over these Terms with respect to the applicable components.
17. Beta Features
Features designated as alpha, beta, preview, or experimental are provided “as is” without warranty and may be modified, suspended, or discontinued at any time. These Terms apply to Your use of such features, but Meandr makes no representation about the suitability of beta features for production use.
18. Service Limits
Meandr may impose reasonable technical limits to protect the integrity and availability of the Service for all customers, including per-call duration limits, concurrent connection caps, request rate limits, and total monthly volume caps. Current limits are published with Your plan documentation; Meandr will provide reasonable notice of material changes.
19. Billing, Refund and Cancellation Policies
19.a. Subscription Plans
The Service is offered in multiple plan tiers (currently: Sandbox, Team, Business, Enterprise). Plan details, including current pricing and limits, are published at meandr.com/pricing. Plans are billed in advance for the applicable billing period (monthly or annually as selected at the time of subscription).
The member may cancel future charges by cancelling their subscription in the ‘Billing’ tab of the dashboard.
After subscribing, the user will be billed per his or her plan amount and billed every 30 days (or annually, where applicable) after until cancellation.
By signing up, You authorize Meandr to bill You for each successive billing period until Your subscription is cancelled in accordance with these Terms.
Users may cancel their subscription at any time through the dashboard’s Billing tab. Cancellation takes effect at the end of the current billing period.
19.b. Usage-Based Billing
You are billed for tool calls that reach an upstream service. Calls blocked by Your own policies, rate limits, or quotas are not billable. The dashboard provides usage reports reflecting this billing rule. Where Your plan includes a monthly cap, calls beyond the cap may be denied (for Sandbox and Team tiers) or subject to overage fees (for Business and Enterprise tiers, where applicable).
19.c. Refunds
ALL payments are non-refundable. This means the initial payment is non-refundable after payment is completed and the subscription is activated. Subsequent recurring payments are also non-refundable.
19.d. Late Payment
If You fail to pay any amount when due, Meandr may, after notice, suspend Your access to the Service until payment is received and may charge interest on overdue amounts at the lower of 1.5% per month or the maximum rate permitted by law.
19.e. Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes other than those based on Meandr’s net income.
19.f. Payment Processor
Payments are processed through a third-party payment processor. Your use of the payment processor is subject to its terms; Meandr is not responsible for the payment processor’s practices.
20. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state and federal courts located in Delaware, and You consent to the jurisdiction of such courts.
21. General Provisions
Entire Agreement. These Terms, together with the privacy policy, the acceptable use policy, and any order form or applicable subscription agreement, constitute the entire agreement between You and Meandr regarding the Service and supersede all prior agreements.
Assignment. You may not assign these Terms without Meandr’s prior written consent. Meandr may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all its assets.
No Waiver. Meandr’s failure to enforce any provision of these Terms will not constitute a waiver.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
Force Majeure. Neither party will be liable for any delay or failure to perform caused by circumstances beyond reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, or strikes.
Independent Contractors. The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
